Zero tolerance, plainly stated.

This is YionStack's public anti-bribery and corruption (ABC) policy under the UK Bribery Act 2010. It is binding on every employee, director, contractor and supplier acting for or on behalf of the business.

1. Our position

YionStack does not offer, give, solicit or accept bribes — directly or through a third party — under any circumstances. This applies whether the counter-party is a public official, a customer, a supplier, or anyone else; in the UK or abroad; in any currency or in kind.

Bribery and corruption are unlawful under the Bribery Act 2010. The consequences for an offending individual can include up to 10 years' imprisonment and an unlimited fine. The consequences for the company can include unlimited fines, reputational destruction, and disqualification from public-sector tenders.

2. Scope

This policy applies to:

  • All employees, directors and officers of Yiontech LTD.
  • All contractors, consultants and agents engaged by us, while acting for or on behalf of the business.
  • Any third party we contract with under terms that incorporate our supplier code of conduct.

3. What is prohibited

Bribes — given or received

Offering, promising, giving, requesting, agreeing to receive or accepting any financial or other advantage as an inducement or reward for improper performance.

Facilitation payments

Small unofficial payments to public officials to "speed things up" — illegal under the Bribery Act, and prohibited here even where local custom permits them.

Kickbacks

Returning a portion of fees to anyone who steered business our way, or accepting one ourselves. We compete on the product, not on side payments.

Disguised political contributions

We do not make political contributions in order to obtain business. Any genuine political donations require board sign-off and are publicly disclosed.

4. Gifts and hospitality

Modest, transparent, business-purposed gifts and hospitality are not bribes. To stay clearly on the right side of the line we apply these rules:

  • Gifts must be reasonable in value, infrequent, and never cash or cash-equivalent.
  • Hospitality must have a clear business purpose and be proportionate to the relationship.
  • No gifts or hospitality during a live procurement decision involving the recipient's organisation.
  • Anything above £100 in aggregate to a single counter-party in a calendar year requires written approval from a director and is logged in the gifts register.
  • Stricter limits apply to dealings with public officials, in line with Ministry of Justice guidance under the Bribery Act.

5. Reporting concerns

If you suspect a breach of this policy — whether you work here, work with us, or are an outside party — tell us. We act on every report and protect the identity of the person who raises it.

Email legal@yionstack.co.uk with “Confidential — ABC concern” in the subject. The report goes only to a director and the company secretary.

You can also report concerns to the relevant prescribed body under the Public Interest Disclosure Act 1998 — or, in serious cases, directly to the Serious Fraud Office.

6. Training and review

All employees and long-term contractors complete ABC training during onboarding and annually thereafter. The policy is reviewed at least annually by the board, or sooner if our risk profile changes.

7. Sanctions

A breach of this policy is gross misconduct for an employee — grounds for summary dismissal. For contractors and suppliers it is a material breach of contract — grounds for immediate termination. Where a breach is also a criminal offence, we report it to the relevant authorities.
