Terms of Service

These terms are the agreement between you (the “Customer”) and Yiontech LTD (Companies House 16519666), trading as “YionStack” (“YionStack”, “we”, “us”). They govern your use of the YionStack product. Every clause has a one-line plain-English summary so you can read this in five minutes, not an afternoon.

Sold to UK businesses

YionStack is a B2B service. By signing up you confirm you are acting on behalf of a business — sole trader, partnership or company.

14-day trial, no card

Every paid plan starts with a free trial. You only pay if you decide to keep going at the end.

Auto-renews, cancel any time

Subscriptions renew at the end of each term. You can cancel from billing settings — no email, no phone call required.

UK VAT included on every invoice

Prices are net. UK VAT (20%) is added by Stripe Tax at checkout. Compliant invoices with your VAT number land in your inbox.

Liability is capped — but not for everything

Capped at fees you paid in the prior 12 months. Carve-outs (death/personal-injury, fraud, payment owed) sit above the cap, as UCTA requires.

These terms are governed by the law of England and Wales. Disputes are settled by the courts of England and Wales.

Acceptance

Plain English

Sign up or use YionStack and these terms apply. The person who signs up confirms they can bind their business.

By creating an account, accessing or using the YionStack product, you agree to be bound by these Terms. If you are using YionStack on behalf of a business or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

If you do not agree, do not access or use the service.

Definitions

Plain English

The terms in capital letters mean the things defined here. Skip unless something is unclear later.

  • “Service” means the YionStack product, including the modules, API, mobile and web apps, and related documentation.
  • “Customer Data” means data you input or upload to the Service, including data your end-users add when you operate YionStack.
  • “Subscription” means the paid plan you select, billed at the cadence shown at checkout.
  • “Fees” means the amounts payable for your Subscription, exclusive of UK VAT.
  • “DPA” means our Data Processing Agreement, incorporated into these Terms by reference.
  • “AUP” means the Acceptable Use rules in clause 7.

The service

Plain English

We provide YionStack to you with reasonable care and skill (the standard UK SGSA 1982 §13 sets). We can improve and add to it; we will tell you before we materially remove anything.

We will provide the Service to you with reasonable care and skill, in accordance with the Supply of Goods and Services Act 1982. The features and functionality may evolve over time. We may add, change, or remove features on reasonable notice; for material removals affecting paid functionality we give 30 days' notice.

We provide the Service “as is” in respect of any feature expressly labelled beta, preview or experimental, and exclude implied warranties for those features to the extent permitted by law.

Accounts & eligibility

Plain English

You need a UK business and accurate details. You're responsible for what your team does in your account.

You must be a business based in the United Kingdom (sole trader, partnership, LLP, company, charity or other legal entity) to subscribe. Account details must be accurate and kept up to date.

You are responsible for maintaining the security of your sign-in credentials, for the actions of users you authorise, and for any activity on your account that occurs by virtue of those credentials.

Subscriptions, fees & payment

Plain English

Prices are net of VAT. We bill via Stripe at the cadence you picked. Auto-renews — cancel any time. Late payment can attract statutory interest.

Fees for each Subscription tier are set out on our pricing page. Fees are net; UK VAT (20%) is added at checkout via Stripe Tax. Payment is taken at the start of each billing period.

Subscriptions renew automatically at the end of each term unless you cancel before the renewal date. Cancellation takes effect at the end of the then-current term — we do not refund unused time on a paid month/year save where required by law.

Where invoiced rather than card-charged, payment is due within 30 days of invoice. We may charge statutory interest and reasonable recovery costs on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.

Trial period

Plain English

14 days free, no card needed. After trial you pick a plan or your account auto-cancels.

Each new Customer receives a 14-day free trial of the Service. No payment details are required to start the trial. At the end of the trial you may choose a paid plan; if you do not, the account is suspended and (if not reactivated within 30 days) closed in line with clause 12.

Acceptable use

Plain English

No illegal use, no abuse of the Service or others, no scraping, no reselling. Anti-bribery and sanctions compliance applies.

You will not, and will not permit any user of your account to:

  • use the Service for any unlawful purpose, or in breach of any law that applies to you;
  • upload or transmit malware, illegal content, or infringing material;
  • scrape, reverse-engineer, or attempt to derive the source code of the Service except to the extent UK law permits notwithstanding this clause;
  • interfere with the Service's integrity, performance, or security, or attempt to gain unauthorised access;
  • resell or sub-license the Service to third parties without our written agreement;
  • use the Service to send unsolicited communications in breach of PECR or applicable marketing rules;
  • act in breach of the Bribery Act 2010 or applicable sanctions regimes (UK, EU, US OFAC).

Breach of the AUP is a material breach of these Terms and may result in suspension or termination under clause 12.

Customer Data & DPA

Plain English

Your data is yours. We process it only as the DPA says. You can export it any time.

As between you and us, you retain all rights, title and interest in Customer Data. You grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data solely as necessary to provide the Service to you.

Our processing of personal data within Customer Data is governed by our Data Processing Agreement, which is incorporated into these Terms. The DPA prevails over these Terms in respect of personal-data processing.

You can export Customer Data from the Service at any time during your Subscription. On termination we retain Customer Data for 30 days for recovery, then delete it (subject to statutory retention exceptions documented in the DPA).

Intellectual property

Plain English

We own the platform. You own your data. AI-generated outputs you produce are yours, subject to a small caveat.

We retain all rights, title and interest in the Service, the YionStack brand, and any improvements, derivative works or feedback-derived changes. Nothing in these Terms transfers any of those rights to you.

Where the Service produces AI-generated outputs at your prompt (drafts, images, summaries), as between you and us those outputs belong to you, subject to (i) the underlying model provider's terms (which we pass through to you), and (ii) you not holding outputs out as YionStack endorsements.

If you give us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Service. We will not identify you as the source without your permission.

Confidentiality

Plain English

What we exchange in confidence stays in confidence. Standard mutual NDA terms.

Each party may disclose Confidential Information to the other in connection with these Terms. The receiving party will (a) use the same degree of care to protect such information as it does its own (no less than reasonable care), (b) limit access to those who need to know, and (c) use the information only for the purpose for which it was disclosed.

Confidential Information does not include information that is or becomes public other than through breach, was already known to the receiver, was rightfully received from a third party, or was independently developed.

Availability & changes

Plain English

We aim for high availability, post a status page, and notify on incidents. Maintenance windows are signposted.

We use commercially reasonable efforts to keep the Service available. Live status is on yionstack.co.uk/status. Planned maintenance is announced in advance through the in-product notification surface; emergency maintenance may occur without notice.

Specific service-level commitments (uptime targets, credits) are available to Customers on Scale plans and above by separate agreement.

Suspension & termination

Plain English

Either side can leave with notice. We can suspend if the AUP is breached or fees are unpaid.

Either party may terminate a Subscription for convenience by giving notice before the end of the then-current term. Termination takes effect at the end of that term.

We may suspend your access on reasonable notice for (a) material breach including AUP breach, (b) unpaid Fees more than 14 days overdue, or (c) where required by law. We may terminate immediately for irremediable material breach, insolvency, or the kind of conduct that brings us into disrepute.

On termination you remain liable for Fees accrued before termination, and the clauses that by their nature should survive (Confidentiality, IP, Liability, Indemnity, General, Governing law) do so.

Liability

Plain English

Liability is capped at the Fees you paid in the prior 12 months. Some things — death, fraud, payment owed — sit above the cap, as UCTA requires.

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be limited; or (d) the obligation of either party to pay sums properly due under these Terms.

Subject to the carve-outs above, each party's aggregate liability arising out of or in connection with these Terms (whether in contract, tort including negligence, breach of statutory duty, or otherwise) is limited to the total Fees paid by the Customer to YionStack in the 12 months immediately preceding the event giving rise to the liability.

Subject to the carve-outs above, neither party is liable to the other for any indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings, or loss of goodwill.

This clause is intended to be enforceable as a reasonable allocation of risk between two commercial parties for the purposes of the Unfair Contract Terms Act 1977.

Indemnity

Plain English

If our service infringes IP, we'll defend you. If your data or use causes a third-party claim against us, you'll defend us.

We will defend you, and pay reasonable settlements or damages awarded, in respect of any third-party claim that the Service as provided by us infringes that third party's UK intellectual-property rights, provided you tell us promptly, give us sole control of defence and settlement, and cooperate.

You will defend us, and pay reasonable settlements or damages awarded, in respect of any third-party claim arising from (i) Customer Data, (ii) your use of the Service in breach of the AUP, or (iii) your representations to data subjects under your privacy notice.

Force majeure

Plain English

Neither side is liable for things genuinely outside its reasonable control.

Neither party is liable for any failure or delay in performance to the extent caused by an event beyond its reasonable control (a Force Majeure Event), including acts of God, war, civil unrest, epidemic, government action, internet-backbone failure, or third-party infrastructure failure. The affected party must notify the other promptly and resume performance as soon as reasonably possible.

Updates to these terms

Plain English

We can update these terms with at least 30 days' notice for material changes. If you don't like a change, you can cancel.

We may update these Terms from time to time. For changes that materially affect your rights or our obligations, we will give you at least 30 days' notice by email and/or in-product notification. Continued use of the Service after the change takes effect constitutes acceptance.

If you do not accept a material change, you may terminate your Subscription before the change takes effect, and we will refund any Fees pre-paid for the post-change period.

General

Plain English

The standard contract plumbing — notices, assignment, severability, no-third-party-rights, entire agreement.

  • Notices. Notices to YionStack must be sent to legal@yionstack.co.uk; notices to you go to the email on your account.
  • Assignment. Neither party may assign these Terms without the other's consent, except on a sale, merger or restructuring of substantially all assets.
  • Severability. If any clause is unenforceable, the rest of the Terms continue.
  • No third-party rights. Nothing in these Terms confers any benefit on a third party under the Contracts (Rights of Third Parties) Act 1999.
  • Entire agreement. These Terms, together with the DPA and Privacy Notice, are the entire agreement between us about the Service.
  • Anti-bribery & modern slavery. Each party complies with applicable anti-bribery and modern-slavery laws (Bribery Act 2010, Modern Slavery Act 2015).

Governing law

Plain English

English law, English courts. Counter-signed copies on request.

These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with them.

We'd rather resolve disagreements directly than via court. Email legal@yionstack.co.uk with “Dispute” in the subject and we will respond within five working days.
